Yes, deactivate. A CPU upgrade will use an activation if you do not deactivate before your upgrade. Which will happen even if you do not deactivate due to the CPU replacement. The only difference being how many activations you have left at the end of the process. The Quick Start Guide in the Doc folder covers the ins and outs of hardware changes and activation/decativation.
